Terms of Service

Engagement, payment, refunds, and the binding clauses, stated plainly. OffshoreGuy is a service operated by Bitcitizen LLC.

Important notice

These Terms contain an arbitration agreement, a class action waiver, and a jury trial waiver in Section 15. Read them carefully; they affect your legal rights.

Plainly stated

Most service terms are written to win lawsuits. These are written to set expectations. The model is simple, the prices are published, and the binding clauses are conspicuous on purpose.

  • Prices are fixed and published per product. No retainer, no hidden markup, no surprise invoice.
  • Bitcoin leads: BTC (on-chain and Lightning) and USDT, settled via BitSettle, with 5% off. Stripe card and ACH are available as secondary rails.
  • We do not guarantee registry approval. Each registry and licensed local provider makes its own determination.
  • We are not a law firm, a tax advisor, or your fiduciary. Engage qualified professionals where the matter calls for them.
  • Disputes are resolved by individual arbitration under Section 15. The class action and jury trial waivers are real and apply on use.

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the offshoreguy.com website ("Website") and the services offered through it ("Services"), operated by Bitcitizen LLC ("Company," "we," "us," or "our"). OffshoreGuy, a service operated by Bitcitizen LLC ("Bitcitizen," "we," "us," or "our") and is part of the Bitcitizen ecosystem.

By accessing or using the Website or Services, you agree to these Terms. If you do not agree, do not use the Website or Services.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You may not use the Services if you are subject to sanctions, are located in a sanctioned jurisdiction, or would cause us to violate any applicable law by serving you.

4. Who we are and what we do

4.1 What we are. OffshoreGuy is a Bitcoin-native company-formation platform. We operate the formation administration, document drafting, payment-rail infrastructure, and the licensed local arrangements required to file with each jurisdiction's registry across the jurisdictions we serve. Felix, our AI support assistant, answers questions and points you to the right product; orders are placed on our product pages and at checkout, not in chat, and a human reviews where indicated. We do not publish counterparty identities on customer-facing pages.

4.2 What we are not. We are not a law firm and do not provide legal advice. We are not a tax preparer, bookkeeper, or accountant; we provide no tax services and refer tax matters to a US enrolled agent. We are not a bank, a money transmitter, or a custodian. We are not a government agency and have no authority to grant or deny a registration.

6. Payments

Bitcoin leads. Accepted crypto payment is BTC (on-chain and Lightning) and USDT on 7 chains, settled via BitSettle, the ecosystem's Bitcoin and USDT settlement rail, with BTCPay Server as failover, and a 5% discount. Stripe card and ACH are available as secondary rails. For crypto payments we never take custody of your funds beyond settling the invoice for your order, and we never store your private keys.

Prices are denominated in USD at the database level and recalculated at checkout via BitSettle's spot rate. Your rate locks for 60 minutes when you add to cart. Cryptocurrency transactions are irreversible; you are responsible for confirming the correct network, asset, and address before sending. Government and registry fees, and any third-party costs, are part of the published all-in price unless stated otherwise.

7. Refunds

Our Refund Policy is published separately at /docs/refund and forms part of these Terms. Because Bitcoin payments are technically irreversible, please review that policy before purchasing.

8. KYC, sanctions, and compliance

We screen every order against OFAC SDN, EU consolidated, and UN sanctions lists, and we apply tier-based KYC: Tier 0 under $1,000, Tier 1 from $1,000 to $10,000, and Tier 2 over $10,000. Identity and source-of-funds verification at Tier 1 and above is performed by our regulated KYC partner.

Our licensed local providers are statutorily required to identify the ultimate beneficial owner and may collect additional information per their own obligations. We may refuse, pause, or terminate an order where required by law, program rules, due diligence findings, or our compliance policies. See the AML Policy for the full posture.

9. Your obligations

You agree to provide accurate, current, and complete information; to use the Services only for lawful purposes; and not to use a formed entity to facilitate fraud, sanctions evasion, money laundering, or any other unlawful activity. You are responsible for the ongoing compliance, reporting, and tax obligations that attach to any entity you form.

10. Formation outcomes

We administer your formation in good faith and to the current statute of your chosen jurisdiction. We do not control, and do not guarantee, the outcome of any registry filing. Registries and licensed local providers make their own determinations and may reject or delay a filing for reasons outside our control. Filing timelines are estimates, not commitments.

11. Intellectual property

The Website, our software, Felix, our document templates, and our generated materials are owned by Bitcitizen LLC or its licensors and are protected by intellectual-property law. On full payment, you receive the operating documents for your own entity and a license to use them for that entity. You may not resell, white-label, or redistribute our platform, templates, or tooling.

12. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Services is limited to the amount you paid for the specific order at issue. We are not liable for indirect, incidental, consequential, or punitive damages, for licensed-local-provider delays or registry rejections, or for banking decisions made by third-party institutions.

13. Indemnification

You agree to indemnify and hold harmless Bitcitizen LLC and its officers, members, and contractors from any claim, loss, or expense (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, or your use of an entity you formed through us.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.

15. Dispute resolution

15.1 Informal resolution. Before any formal proceeding, you agree to first attempt informal resolution by written notice to [email protected] or by mail to the registered address in Section 20. We will attempt to resolve the matter within 60 days of receiving your notice.

15.2 Binding arbitration. If the dispute cannot be resolved informally, you and Bitcitizen LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator, in person in Wyoming or by videoconference if the parties mutually agree.

15.3 Class action waiver. YOU AGREE THAT ANY DISPUTE-RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.4 Jury trial waiver. YOU AND BITCITIZEN LLC HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. YOU AND BITCITIZEN LLC ARE INSTEAD ELECTING TO HAVE CLAIMS AND DISPUTES RESOLVED BY ARBITRATION.

16. Termination

We may suspend or terminate your access to the Website or Services where required by law or where you breach these Terms. Sections that by their nature should survive termination, including payment, intellectual property, limitation of liability, indemnification, governing law, and dispute resolution, survive.

17. Modifications

We may update these Terms as our posture and applicable law evolve. The effective date above reflects the most recent revision. Material changes will be announced on the Website and, where appropriate, by direct notice. Continued use after an update constitutes acceptance.

18. Severability

If any provision of these Terms is held unenforceable, that provision is severed and the remaining provisions stay in full force. If the class action waiver in Section 15.3 is held unenforceable as to a particular claim, that claim is severed to court while the remainder stays in arbitration.

19. Entire agreement

These Terms, together with the policies referenced in Section 2 and any written order or engagement you accept, are the entire agreement between you and us regarding the Services and supersede prior understandings.
